Join EDF as Managing Legal Counsel where you will be stepping into an organisation embedding a recent transition to a new shareholding. You will then help negotiate and prepare the organisation for a further transition as part of a major fundraising in debt and equity markets throughout 2023. You will work at the cutting edge of new ways of funding the nuclear industry and help embed these arrangements into the organisation, setting it up for success.

As Managing Legal Counsel, you will be supporting a range of corporate and regulatory matters critical to securing financial close and the project’s readiness to commence construction. This will see you getting involved in negotiation of new shareholder arrangements, design and implementation of new governance arrangements within the project, management of regulatory commitments (ONR, Environment Agency, Ofgem) and transition of the Legal function to a standalone entity. 

You will also support the project’s legal compliance and assurance arrangements, the development of the company secretarial function and a range of general matters common to running a business. The role sits within the legal team, which supports all areas of the Sizewell C (SZC) project, focusing on corporate and regulatory matters.  

This is an excellent role for an experienced manager of in-house legal teams or a senior lawyer with in-house experience covering a range of corporate and commercial matters.

What you’ll be doing…

You will be embedding into the project the new governance arrangements under a proposed change in shareholder in mid-2022. You will also lead negotiations on enduring shareholder arrangements on behalf of SZC, with transition to these enduring arrangements scheduled for  2023.

You will be managing SZC’s commitments to the ONR and EA in respect of Governance, ensuring these are progressed within the project. 

You will support the Legal Affairs Director in building SZC’s standalone company secretariat function and legal compliance and assurance arrangements.  SZC’s legal team is developing a comprehensive transition to standalone arrangements of all legal team management and functional activities where arrangements are currently reliant on the EDF group.

You will provide guidance and support to your team, supporting personal development and setting objectives through the annual performance management process.  You will support the Head of Legal by proactively identifying events that may impact/enhance the performance of the team and by anticipating pinch points in capacity and workflows.

Who you are…

To be considered for this role, you will need to be admitted as a solicitor in England and Wales or equivalent common law jurisdiction. The minimum anticipated PQE level is at least 5 years but candidates outside of this range are welcome to apply.

You will have proven experience in a legal counsel role, ideally with experience of managing in-house legal teams covering a range of corporate and commercial matters.

Due to the nature of this role you will require previous experience in the development of complex projects, where knowledge and experience of infrastructure projects is an advantage. You should also have an understanding the current legislative, policy and key risks faced by new infrastructure projects, particularly nuclear and wider energy projects such as hydrogen and direct air capture.

It would be important for you to have a strategic-minded, strong attention to detail and an ability to thrive in a fast-paced, dynamic environment, where negotiating complex arrangements is key.
