Company Secretarial Assistant

We are recruiting for an experienced Company Secretarial Assistant to perform and manage a wide range of legal and governance activities for the EDF Energy group of companies.

Nature and Scope

This role will be an important member of the EDF Energy Legal department. The Legal Department is a strategic and risk management function whose role is to support and advise EDF Energy, one of the UK's leading energy suppliers and generators.

This position is based in our head office in London and will involve working closely with various internal and external stakeholders.

Principal Accountabilities

The main duties and responsibilities include:

  • Lead and advise on company initiatives, projects and corporate transactions (in particular, corporate restructures, rationalisation projects, financing, mergers, acquisitions and disposals).
  • Prepare resolutions and documentation for routine transactions (such as share transfers, director changes and dividends) and ad hoc events (such as incorporations and voluntary dissolution).
  • Develop relationships with business partners and external stakeholders (including shareholders and joint venture partners) and provide advice and support to business partners on company secretarial issues and procedure. 
  • Manage EDF Energy’s key boards and committees in particular, coordinate arrangements for various meetings, prepare and distribute board packs, review resolutions and minutes and coordinate implementation of Board and shareholders’ decisions.
  • Create and maintain company records for all EDF Energy companies including, maintenance of Blueprint software, Statutory Registers and Companies House records.
  • Ensure timely submission of statutory and ad hoc forms and returns for both UK and overseas companies.
  • Review Statutory Accounts and coordinate associated board approvals.
  • Manage Director appointments and resignations, ensuring that all internal governance approvals (where required) are satisfied.
  • Lead research projects for Company Secretariat, including in relation to developments in corporate governance regulations and best practice.
  • Manage various ongoing compliance activities.
  • Maintain and develop Company Secretariat processes and procedures on a regular basis.
  • Advise and support the General Counsel, Head of Legal & Company Secretary and the wider Legal team on day to day activities and governance initiatives.

Knowledge, Skills, Qualifications, Experience

The skills, qualifications and experience required are:

  • Solicitor qualified in England & Wales or common law jurisdiction.
  • ICSA qualified or studying for ICSA qualification (or relevant equivalent).
  • Experience advising Company Secretaries and Directors.
  • Demonstrable experience of acting as a Company Secretary and/or Director of a company.
  • Strong experience in supporting boards.
  • Proven experience in leading company secretarial projects (in particular, corporate restructures or rationalisation projects).
  • Proficient IT skills and good knowledge of Microsoft Office; experience using Blueprint Software and conducting searches and filing documents with Companies House is preferable.
  • Thorough knowledge of company secretarial practice, the Companies Act 2006 and other relevant legislation and best practice procedures.
  • Highly organised and proactive, with a focus on accuracy, timeliness and attention to detail.
  • Strong stakeholder management skills with experience of managing multiple senior stakeholder expectations in demanding environments.
  • Able to establish credibility and communicate at all levels (including board level) and build effective long term business relationships.
  • A self-starter and committed team player, capable of working on his/her own initiative with ability to prioritise multiple projects to deadlines.
  • Adaptable to new situations/tasks and quickly learns new information.
  • Committed to continuous improvement and development of skills and knowledge.
  • Acts with integrity and discretion, maintaining confidentiality at all times.
  • Commercial acumen and knowledge of the wider business and operating environment.
