The Opportunity

 

The Legal Affairs Director & Company Secretary is accountable for leading EDF Renewables UK and Ireland’s Legal, Compliance and Insurance functions and for contributing towards, and taking collective responsibility for delivering, EDF Renewables UK’s strategy. 

Particularly, the role acts as (or delegates) the Company Secretary role for all EDF Renewables Boards and is responsible for the provision of legal, compliance and insurance support for all EDFR entities in  the UK & Ireland.

 

You will provide expert legal counsel so that the organisation receives the advice and support it needs and EDF Renewables UK remains compliant with all relevant legislation, regulations and governance and all legal risk is appropriately mitigated.

The Person

 

  • Contribute to the EDF Renewables UK strategy and, as a member of the Executive Team, take collective responsibility for delivering the four strategic pillars: Zero Harm, Operational Excellence, Business Growth and Inspiring People.
  • Corporate structure / entity maintenance, company secretarial services including Board support
  • Ensure that, through proactive participation and ownership of policy development and compliance/risk management strategies, the right processes are in place to facilitate the Executive Team making informed decisions.
  • Provide legal expertise and support to investment and M&A activities to ensure all business decisions are made with appreciation of the legal risk and impact.
  • Act as the Company Secretary to ensure the efficient administration of EDF Renewables UK and its associated entities; ensure corporate compliance and facilitating business wide compliance with all statutory and regulatory requirements.
  • Develop and maintain a high performing and motivated team, with an open and positive working environment, and a culture of collaboration.
  • Proactively develop and maintain interactions with EDF R Group General Counsel to define legal positions to be taken, prepare risk evaluation and legal memos that are necessary to support investment decisions at the EDFR and the EDF Group levels
  • Contribute to the EDF R Group Legal organization, support setup and implementation of common legal, compliance and insurance standards within the EDF R Group, and, if needed, provide support for other projects within the EDF R Group that require competencies that are available within the UK Legal team organisation

  • Possess significant post-qualification experience in project development and construction, operation and maintenance, project financing, equity and debt financing of projects and other related energy work.
  • Possess substantial knowledge and experience in dealing with the laws and regulations of UK jurisdictions, particularly with regard to the energy industry and renewable project development.
  • Be detail-oriented and meticulous with efficient communication skills (both written and verbal)
  • Have an exemplary reputation for ethics and integrity, solid judgment and business acumen.
  • Be team spirited in approach to challenges, encouraging open collaboration and support, with experience of supporting teams across different jurisdictions, technologies, areas of law or wider.
